Addendum A – SaaS Services Terms

1. Scope

These terms govern Customer’s access to and use of HIOX-provided Software-as-a-Service (SaaS) applications on a subscription basis.

2. Access Rights

• Non-exclusive, non-transferable subscription to use the SaaS during the subscription term.
• No right to copy, frame, mirror, or create derivative works of the SaaS except as permitted by law.

3. Fair Usage & Multi-Tenancy

• HIOX may implement technical limits (e.g., storage, API calls, compute) and enforce fair-use policies.
• HIOX may throttle, restrict features, or suggest migration to higher tiers if usage materially exceeds plan limits.

4. Customer Responsibilities

• Maintain confidentiality of credentials; promptly report suspected compromise.
• Ensure all input data is lawful and compliant.
• Configure and use the SaaS in accordance with documentation and AUP.

5. Maintenance & Availability

• HIOX may perform maintenance (including emergency maintenance) which can affect availability.
• Availability commitments are defined in the SLA.

6. Suspension

HIOX may suspend access for non-payment, AUP violations, or to address security risks.

7. Termination

Upon termination, Customer access to the SaaS will cease. Data handling post-termination is governed by the DPA and Section 6 of the Universal TOS.
