Sales Partner Terms of Service
These Sales Partner Terms of Service (“Sales Partner Terms”) govern participation in the HIOX Sales Partner Program (the “Program”). By enrolling, clicking accept, or using the HIOX Partner Portal, you (“Partner”) agree to these Sales Partner Terms, which supplement the HIOX Universal Terms of Service. In case of conflict, these Sales Partner Terms prevail for the Program.
1) Role, Relationship & Conduct
- You are a partner only; not an agent, employee, or representative of HIOX.
- You cannot bind, commit, or obligate HIOX in any manner.
- HIOX is not liable for your misrepresentation, misuse, or unlawful activity.
2) Commission Structure
Eligible Orders
- All orders placed through the HIOX Partner Portal are eligible for commission.
- Orders placed directly by customers outside the Partner Portal are not eligible beyond the first 7 days from customer registration.
- Self-orders are not eligible.
Commission Calculation
- Commission for each order is based on:
- Your current slab.
- The product category of the order.
- The % commission for that product category under your current slab.
- Slabs are determined based on your total order value with HIOX minus refunds (if any).
Renewals
- First renewal of new orders is eligible for renewal commission, as per the partner commission page and applicable slab.
- No commissions are payable for renewals beyond the first renewal unless explicitly stated.
3) Payment
- Commission is payable only on confirmed, paid, and valid orders.
- Commission may be reversed in case of refunds, chargebacks, or fraud.
- Commission payout will be processed once your accrued unpaid commission exceeds the threshold value stated in the Partner Portal and is accepted by HIOX.
- Payout methods, timing, and currency are as per the Partner Portal.
4) Marketing Rules
- No misleading claims, spam, or unlawful practices.
- No bidding on HIOX trademarks or brand terms in ads without written consent.
- Any use of HIOX brand names, logos, or creatives must comply with HIOX branding guidelines.
5) Terms & Updates
- All commission slabs, percentages, and Program terms are subject to change.
- HIOX will notify partners of updates via the registered email address.
- Continued participation in the Program after updates constitutes acceptance of the revised terms.
6) Governing Law
These Sales Partner Terms are governed by the laws of India. All disputes are subject exclusively to the courts of Coimbatore, Tamil Nadu.
These Sales Partner Terms supplement, and do not replace, the HIOX Universal Terms of Service.
Referral Partner Terms of Service
These Referral Partner Terms of Service (“Referral Partner Terms”) govern participation in the HIOX Referral Partner Program (the “Program”). By enrolling, clicking accept, or using your partner link, you (“Partner”) agree to these Referral Partner Terms, which supplement the HIOX Universal Terms of Service. In case of conflict, these Referral Partner Terms prevail for the Program.
